Service Provider Terms of Service & Cancellation Policy Addendum

Effective date

September 17, 2026

Platform entity

218 Marketplace / Nippon Promoter LLC

Applies to

Service providers, guides, operators & contractors

This addendum is legally binding on all third-party businesses, guides, operators, and contractors offering bookings, appointments, or services on 218 Marketplace, and supplements the Vendor Terms of Service Agreement.

1Scope of Platform Role & Relationship

1.1

Venue only. 218 Marketplace operates exclusively as an introductory technology platform and limited payment collection agent. The legal contract for service delivery exists solely between the Service Provider and the purchasing client ("Client").

1.2

Independent contractor status. Listing on the Platform creates no employer-employee, agency, partnership, or joint-venture relationship. The Provider maintains sole control over pricing, equipment, scheduling, safety protocols, and operational methods.

2Licensing, Permitting, and Legal Compliance

Prior to publishing any service listing, Provider warrants and covenants compliance with all relevant federal, state, and local regulations:

2.1

Vessel compliance (guides & outdoor recreation). If operating motorized watercraft carrying passengers for hire on navigable waters, operators must hold a valid United States Coast Guard (USCG) Captain's License (OUPV/Six-Pack or Master). Watercraft must meet all Minnesota Department of Natural Resources (MNDNR) safety and registration mandates.

2.2

Regional permits. Providers operating within the Boundary Waters Canoe Area Wilderness (BWCAW), Superior National Forest, or Chippewa National Forest must possess valid USDA Forest Service Commercial Outfitter/Guide Special Use Permits.

2.3

Lake Superior endorsement. Providers guiding on Lake Superior or its designated tributaries must hold an active MNDNR Lake Superior Guide License.

2.4

Trade & property services. Cabin care providers, contractors, dock technicians, and mobile mechanics must maintain all required Minnesota Department of Labor and Industry (DLI) licenses, contractor registrations, and municipal permits.

2.5

Proof of licensure or certification. Provider must furnish copies of every license, certification, registration, or permit required for the services offered — before the Provider's first service listing goes live, and again within 48 hours of any platform audit request. Service listings are not published (and existing service listings may be removed) until proof of insurance and licensure has been received and reviewed by the marketplace.

2.6

Identity & licensing attestations. Sellers verified with ID & licensing attestations. Provider attests to the accuracy of their identity and to holding every license, certification, permit, and insurance policy required for the services offered; these attestations are binding under this Agreement, and 218 Marketplace may require supporting documents and remove or suspend any listing whose attestations are false or unmet.

3Mandatory Insurance & Liability Allocation

3.1

Commercial insurance thresholds. Providers offering physical, field, marine, or on-premise property services must maintain active Commercial General Liability (CGL) coverage with minimum limits of $1,000,000 per occurrence / $2,000,000 aggregate. Outdoor operators must maintain policies with watercraft, off-road vehicle, or inland marine endorsements where applicable.

3.2

Proof of coverage. Provider must furnish a Certificate of Insurance (COI) before the Provider's first service listing goes live, and again within 48 hours of any platform audit request. If the COI is missing, expired, or shows lapsed coverage, service listings are suspended until valid proof is received.

3.3

Direct client waivers. Outdoor guides, excursion outfitters, and high-risk service operators are solely responsible for having clients execute standard Assumption of Risk and Liability Release agreements prior to commencing services.

3.4

Platform indemnification. Provider agrees to defend, indemnify, and hold harmless Nippon Promoter LLC, its managers, officers, and agents from any personal injury, wrongful death, property destruction, theft, regulatory violation, or commercial dispute arising from Provider's service execution.

4Booking Fulfillment SLA & Communication

4.1

Intake response time. Provider must initiate direct contact with the client within 24 business hours of booking receipt to finalize logistics, launch sites, gear needs, or property access.

4.2

Platform fee remittance. Payouts (net of the agreed platform take rate — 12.5% standard) are collected and held in escrow via Base44 Payments and disbursed on a rolling 48-hour schedule following confirmed completion of the scheduled service.

4.3

Disintermediation prohibition. Offering off-platform discounts or attempting to divert clients introduced by 218 Marketplace to direct cash or alternative off-platform payment systems violates these terms and results in immediate account forfeiture.

5Standard Cancellation, Weather, and Refund Policy

To balance consumer trust with seasonal operational protection, all bookings on 218 Marketplace adhere to this uniform policy:

5.1

Client-initiated cancellations:

  • 7+ days in advance: Full refund minus third-party payment processing fees (2.9% + $0.30).

  • 3 to 6 days in advance: 50% refund of total booking fee; 50% retained and remitted to Provider.

  • Under 72 hours / no-show: No refund; 100% of the booking balance (net of the platform fee) is paid to Provider.

5.2

Provider-initiated cancellations. If a Provider cancels due to personal conflicts or mechanical breakdowns, the client receives a 100% immediate refund. Frequent provider-initiated cancellations (over 5% of total bookings) trigger storefront suspension.

5.3

Weather & force majeure (lake / ice / severe storms):

  • Guide safety authority: The Provider retains sole authority to call off marine, ice fishing, or outdoor excursions due to active severe weather warnings, lightning, dangerously high winds, or unstable ice conditions.

  • Resolution hierarchy: Primary option: reschedule to a mutually agreed date within the same calendar season. Secondary option: if rescheduling is impossible, the client receives a full 100% refund, with platform transaction fees waived.

6Dispute Handling & Chargeback Defense

6.1

Documentation requirement & reversal. If a client initiates a payment dispute claiming non-performance, Provider must provide verifiable fulfillment documentation (e.g., communications logs, signed service receipts, GPS arrival logs) within 4 business days. In the absence of proof of service, 218 Marketplace reserves the right to reverse funds from the Provider's Base44 Payments payout account.
